1. Introduction and Acceptance

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

  • "Service" means the Club Management Portal platform, including all associated software, applications, and services;
  • "Club" means any organisation registered to use our Service;
  • "Member Data" means personal data relating to club members processed through our Service;
  • "Account" means your registered user account on our Service;
  • "Content" means any information, data, text, or other materials uploaded to our Service.

3. Service Description

Our Service provides a comprehensive club management platform specifically designed for UK-based social clubs, working men's clubs, and member organisations. The Service includes, but is not limited to:

  • Member registration and database management;
  • Subscription billing and payment processing;
  • Club administration tools;
  • Reporting and analytics features;
  • Communication tools for clubs and members.

4. Eligibility and Registration

4.1. You must be at least 18 years of age to use our Service.

4.2. You represent and warrant that all registration information is accurate, current, and complete.

4.3. You are responsible for maintaining the confidentiality of your account credentials.

4.4. You agree to notify us immediately of any unauthorised use of your Account.

5. Acceptable Use

5.1. You agree to use the Service only for lawful purposes and in accordance with these Terms.

5.2. You shall not:

  • Upload or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable;
  • Attempt to gain unauthorised access to any part of the Service;
  • Interfere with or disrupt the Service or servers;
  • Use the Service to transmit spam or unsolicited commercial communications;
  • Violate any applicable laws or regulations.

6. Data Protection and Privacy

6.2. As a data controller, you are responsible for ensuring that your use of the Service complies with all applicable data protection laws.

6.3. You warrant that you have obtained all necessary consents for the processing of member data through our Service.

7. Intellectual Property Rights

7.1. The Service and all associated intellectual property rights remain our property or that of our licensors.

7.2. You retain ownership of any content you upload to the Service, but grant us a licence to use, store, and process such content solely for the purpose of providing the Service.

7.3. You may not reproduce, modify, distribute, or create derivative works based on the Service without our prior written consent.

8. Payment Terms

8.1. Fees for the Service are as set out in your subscription plan.

8.2. All fees are exclusive of VAT, which shall be added at the appropriate rate.

8.3. Payment is due in advance and is non-refundable except as expressly provided in these Terms.

8.4. We reserve the right to suspend or terminate access for non-payment.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, our liability to you is limited to the amount paid by you for the Service in the 12 months preceding the claim.

9.2. We shall not be liable for any indirect, consequential, special, or punitive damages.

9.3. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

10. Indemnification

You agree to indemnify and hold harmless us and our officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or breach of these Terms.

11. Termination

11.1. Either party may terminate this agreement with 30 days' written notice.

11.2. We may terminate your access immediately for material breach of these Terms.

11.3. Upon termination, you will lose access to the Service and any data stored therein.

12. Governing Law and Jurisdiction

12.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.

12.2. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified to you with at least 30 days' notice. Continued use of the Service after such notice constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
